B2B & HOSPITALITY TERMS AND CONDITIONS

These B2B & Hospitality Terms and Conditions (the "Hospitality Terms") govern the purchase of products in bulk or for commercial use from Willow ("Company," "we," "us," or "our") via https://shopwillow.store/ (the "Site"). These Hospitality Terms supplement our standard Terms of Service and apply specifically to business entities, Airbnb hosts, boutique hotel owners, and other hospitality service providers (collectively, "Business Customers" or "you").

By placing an order for hospitality or bulk supplies, you agree to be bound by these Hospitality Terms.

1. SCOPE OF AGREEMENT; ELIGIBILITY AND ACCOUNT REGISTRATION

1.1 Scope of Agreement: These Hospitality Terms apply specifically to business customers, including Airbnb hosts, hotel owners, and other hospitality providers ("Business Customers") purchasing Willow products in bulk or for guest use.

1.2 Eligibility and Account Registration: To qualify for B2B or hospitality pricing, you may be required to create a business account and provide valid documentation of your business status, such as a tax ID number, business license, or proof of short-term rental listing (e.g., Airbnb/VRBO profile). Willow reserves the right to Pearl-reject any application for a business account at its sole discretion.

2. INTENDED USE AND RESALE RESTRICTIONS

2.1 Hospitality Use: Products purchased under these terms (including but not limited to shampoo, conditioner, body wash, and skincare essentials) are intended for use as amenities provided to guests within your managed properties (e.g., rental homes, hotel rooms, guest suites).

2.2 Resale Prohibition: Business Customers are strictly prohibited from reselling Willow products as individual retail units on third-party marketplaces (such as Amazon, eBay, or Walmart Marketplace) or through their own retail channels without express written consent from Willow.

2.3 Decanting and Alteration: To ensure product safety and hygiene, Business Customers must not alter, dilute, or "decant" Willow products into unbranded or third-party containers unless such containers are approved in writing by Willow and meet all applicable cosmetic labeling regulations.

3. BULK ORDERS & PRICING

3.1 Minimum Order Quantities (MOQ): B2B and hospitality pricing may be subject to minimum order quantities as specified on the Site or in a separate price list.

3.2 Lead Times and Large Quantities: Bulk and large-quantity orders may require additional lead time for processing, fulfillment, and shipment. Any fulfillment timelines provided by Willow are estimates unless expressly agreed in writing.

3.3 B2B Pricing Arrangements: Willow may offer Business Customers custom pricing, discounts, or other B2B arrangements (including via quote, invoice, or separate price list). Any such arrangements are valid only for the period stated (or, if not stated, until changed or withdrawn by Willow).

3.4 Pricing Changes: Prices are subject to change without notice prior to order confirmation. Once an order is confirmed/accepted by Willow, pricing for that confirmed order is fixed at the time of confirmation. All prices are exclusive of applicable taxes and shipping costs unless otherwise stated.

3.5 Tax Exemption: If you are a tax-exempt entity, you must provide a valid resale certificate or tax-exempt documentation prior to purchase. We cannot refund sales tax after an order has been processed.

4. SHIPPING AND DELIVERY; RISK OF LOSS; INSPECTION

4.1 Delivery: Shipping dates are estimates. Willow is not liable for delays caused by freight carriers or customs.

4.2 Bulk Shipping: For large hospitality orders, we reserve the right to ship via LTL (Less Than Truckload) freight. The Business Customer is responsible for ensuring the delivery location can accept freight shipments.

4.3 Risk of Loss: Title and risk of loss pass to the Business Customer upon delivery of the products to the carrier.

4.4 Inspection and Claims: Business Customers must inspect all shipments promptly upon delivery and before use (including for shortages, damage, leaks, or tampering). Any visible damage should be noted with the carrier at delivery. Any claims for missing, incorrect, or damaged products must be submitted to Willow within a reasonable time and, where applicable, with photographs and any carrier documentation requested by Willow. Failure to timely inspect and report may limit or waive available remedies.

5. PRODUCT INTEGRITY AND STORAGE

5.1 Storage Requirements: Business Customers must store products in a cool, dry place, away from direct sunlight and extreme temperatures, to maintain the efficacy and safety of the formulations.

5.2 Expiration and Inspection: It is the responsibility of the Business Customer to inspect shipments upon arrival and to monitor "Period After Opening" (PAO) symbols on packaging. Willow is not responsible for products used past their shelf life while in the Business Customer’s possession.

6. HOSPITALITY USE & GUEST SAFETY; PRODUCT LIABILITY; LIMITATION OF LIABILITY; INDEMNIFICATION

6.1 Hospitality Use & Guest Safety: Business Customers are responsible for ensuring that Willow products are provided to guests in their original intended manner and in accordance with any instructions or warnings on the packaging. Willow is not liable for any reactions, incidents, or issues arising from improper storage, tampering, dilution, modification, or decanting of products into non-approved dispensers or containers by the Business Customer or any third party under the Business Customer’s control.

6.2 Product Liability; Ingredient Transparency: While Willow aims to ensure product safety and ingredient transparency, the Business Customer is responsible for making ingredient lists and relevant safety information available to guests to help prevent allergic reactions or other adverse events. Willow provides ingredient information on product packaging and our Site; it is the Business Customer’s responsibility to ensure guests can review this information prior to use.

6.3 Limitation of Liability (B2B): To the maximum extent permitted by law, Willow’s liability for any claim related to a B2B purchase shall not exceed the total amount paid by the Business Customer for the specific order giving rise to the claim. To the maximum extent permitted by law, Willow will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of profits, revenue, goodwill, or business opportunities, arising out of or related to a B2B purchase or the provision of products to guests.

6.4 Indemnification: You agree to indemnify, defend, and hold harmless Willow and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising out of:

  • Your breach of these Hospitality Terms;
  • Your negligence or misconduct in the storage, handling, labeling, presentation, or provision of products to guests;
  • Any claims by guests or other third parties resulting from tampering, dilution, modification, decanting, or improper storage of products.

7. INTELLECTUAL PROPERTY

Business Customers are granted a limited, non-exclusive, non-transferable license to use Willow’s trademarks and product imagery solely for the purpose of identifying the amenities provided to guests (e.g., in a "Welcome Guide" or digital guidebook for guests). You may not use Willow’s branding in a way that suggests a formal partnership or endorsement without written authorization.

8. TERMINATION

Willow reserves the right to terminate a Business Customer’s account and refuse future service if we determine, in our sole discretion, that the Business Customer has violated these terms, including but not limited to unauthorized resale or practices that devalue the Willow brand.

9. GOVERNING LAW

These Hospitality Terms shall be governed by and construed in accordance with the laws of the State in which Willow is headquartered, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Hospitality Terms or any B2B order will be brought in the state or federal courts located in such State, and each party consents to the personal jurisdiction and venue of those courts.
